1.Acceptance of Terms
By accessing or using the Nesygent website, platform, or any related services (collectively, the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Services.
2.Description of Services
Nesygent provides an enterprise platform for intelligent automation and orchestration of business workflows. The specific features, functionality, and service levels available to you may be governed by a separate written agreement between your organization and Nesygent (an "Enterprise Agreement"). In the event of a conflict between these Terms and an Enterprise Agreement, the Enterprise Agreement will control.
3.Eligibility and Accounts
- You must be at least 18 years of age and capable of entering into a legally binding agreement to use the Services.
- You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account.
- You agree to notify us promptly of any unauthorized access to or use of your account.
4.Acceptable Use
You agree not to, and not to permit any third party to:
- Use the Services in violation of any applicable law or regulation;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services;
- Interfere with or disrupt the integrity, security, or performance of the Services;
- Attempt to gain unauthorized access to the Services or their related systems or networks;
- Use the Services to transmit malicious code or to infringe the intellectual property or privacy rights of any party;
- Resell, sublicense, or otherwise make the Services available to third parties except as expressly permitted in writing.
5.Intellectual Property
The Services, including all software, content, designs, logos, trademarks, and documentation, are and will remain the exclusive property of Nesygent and its licensors. Except for the limited rights expressly granted to you, no rights or licenses are granted by implication, estoppel, or otherwise. The Nesygent name and logo may not be used without our prior written consent.
6.Customer Data
As between you and Nesygent, you retain all rights, title, and interest in and to the data you submit to the Services ("Customer Data"). You grant Nesygent a limited license to process Customer Data solely to provide and improve the Services, consistent with our Privacy Policy and any applicable Enterprise Agreement. You are responsible for the accuracy and legality of Customer Data and for obtaining any rights or consents necessary for its use.
7.Confidentiality
Each party agrees to protect the other party's confidential information with at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care, and to use such information only as necessary to perform under these Terms.
8.Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT AS EXPRESSLY SET FORTH IN AN ENTERPRISE AGREEMENT.
9.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL NESYGENT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.Indemnification
You agree to indemnify and hold harmless Nesygent and its officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Services in violation of these Terms or applicable law.
11.Termination
We may suspend or terminate your access to the Services at any time if you breach these Terms. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, and limitations of liability — will survive.
12.Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
13.Governing Law
These Terms are governed by applicable law of the jurisdiction in which Nesygent is established, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts of that jurisdiction, unless otherwise agreed in an Enterprise Agreement.
